These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and VendorOS AI (“VendorOS”, “we”, “our”, or “us”) governing your access to and use of the VendorOS AI platform and all related services.

By registering an account, clicking “Sign Up”, or otherwise accessing the Platform, you confirm that you are at least 18 years old, have the legal capacity to enter into this agreement, and accept these Terms in full.

If you are using the Platform on behalf of a business, you represent that you have the authority to bind that business to these Terms.

VendorOS AI provides an AI-powered business management platform designed for Nigerian entrepreneurs and SMEs. The Platform includes:

• OgaAI executive AI assistant for business management
• Customer relationship management (CRM) tools
• Order and inventory management
• Financial tracking and reporting
• AI-powered marketing campaign generation
• WhatsApp business integration
• Affiliate referral program
• Subscription management and billing

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time with reasonable notice to users.

To use the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password confidential and not share it with any third party
• Notify us immediately at support@vendoros.ai of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

VendorOS AI offers the following subscription plans:

We offer a 7-day money-back guarantee for new subscribers. If you are not satisfied with the Platform within 7 days of your first payment, contact us at support@vendoros.ai for a full refund.

After 7 days, all payments are final and non-refundable. In exceptional circumstances (e.g., extended platform downtime exceeding 72 hours), we may issue pro-rata credits at our discretion.

You agree NOT to use the Platform to:

• Engage in fraudulent, deceptive, or misleading activities
• Violate any applicable Nigerian laws or regulations
• Send spam, unsolicited messages, or harass customers
• Upload, store, or distribute illegal content
• Attempt to reverse-engineer, hack, or disrupt the Platform
• Collect or harvest data from other users without consent
• Resell or sublicense the Platform without written permission
• Use AI agents to generate misleading, defamatory, or harmful content
• Conduct money laundering or any activity prohibited by the EFCC or CBN

When you use our AI agents (OgaAI, Customer Care, Finance, Sales, Inventory, Marketing agents), your business data and conversation inputs are processed by Anthropic's Claude AI to generate responses and insights.

You retain full ownership of your business data. We process it solely to provide the contracted services. Please refer to our Privacy Policy for full details on data processing.

AI-generated content is for informational purposes only and does not constitute legal, financial, or professional advice. You are responsible for verifying AI outputs before acting on them.

The VendorOS Affiliate Program allows users to earn commissions by referring new paying subscribers. Key terms:

• Commission rate: 30% of monthly subscription revenue from referred users
• Bonus: 1 free month of service for every 30 successful referrals
• Payment: Commissions are paid monthly, subject to a minimum threshold of ₦5,000
• Eligibility: Referred users must maintain an active paid subscription for commission to apply
• Fraud: Self-referrals, fake accounts, or fraudulent referrals will result in immediate termination of affiliate status and forfeiture of commissions
• We reserve the right to modify or discontinue the affiliate program with 30 days' notice

Use of WhatsApp integration features is subject to Meta's WhatsApp Business Policy. You agree to:

• Only message customers who have opted in to receive communications
• Comply with WhatsApp Business Messaging Policy at all times
• Not use WhatsApp features for bulk spam or unsolicited marketing
• Obtain appropriate consents from your customers before sending AI-generated messages

All intellectual property rights in the Platform, including software, AI models, designs, logos, and content created by VendorOS, remain the exclusive property of VendorOS AI.

You retain ownership of all business data you upload to the Platform. By using the Platform, you grant us a limited, non-exclusive license to process your data solely to provide the services.

You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without our express written consent.

The Platform is provided “as is” and “as available.” While we strive for 99.9% uptime, we do not guarantee uninterrupted or error-free service.

To the fullest extent permitted by Nigerian law, VendorOS shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, or business opportunities
• Decisions made based on AI-generated insights or recommendations
• Data loss resulting from your own actions or third-party breaches outside our control

Our total liability shall not exceed the amount you paid us in the 3 months preceding the claim.

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall be resolved:

• First: Through good-faith negotiation between the parties
• Then: Through mediation if negotiation fails within 30 days
• Finally: Through the courts of Lagos State, Nigeria, if mediation fails

You may terminate your account at any time by contacting support@vendoros.ai or through your account settings. We may terminate or suspend your account immediately without notice if you violate these Terms, engage in fraud, or if required by law.

Upon termination, you may request an export of your business data within 30 days. After 30 days, data may be permanently deleted in accordance with our data retention policy.

We may update these Terms from time to time. Material changes will be communicated via email at least 14 days before taking effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
